These Terms of Service ("Terms") govern your access to and use of the digital marketing services, software platform, and related tools provided by AdIQ, LLC ("AdIQ," "we," "us," or "our"). By purchasing a subscription, signing an order form, or using any AdIQ service, you agree to be bound by these Terms. Please read them carefully.

Acceptance of Terms

By accessing or using AdIQ's services, you confirm that you are at least 18 years of age, have the legal authority to enter into binding contracts on behalf of yourself or your business entity, and agree to these Terms in their entirety.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you may not use AdIQ's services.

Your continued use of AdIQ's services following any modification to these Terms constitutes your acceptance of the revised Terms. We will notify you of material changes by email and by updating the "Last updated" date at the top of this page.

Services Description

AdIQ provides done-for-you digital marketing services for local businesses. Depending on your subscription plan, services may include any combination of the following:

Website & Digital Presence

  • Website Design & Development — Custom-designed, mobile-optimized business websites built and hosted on behalf of clients, including ongoing maintenance and updates.
  • Branding & Design — Logo creation, brand identity development, graphic design assets, and visual consistency management across all marketing channels.

Search & Visibility

  • Search Engine Optimization (SEO) — On-page, off-page, and technical SEO including local citation building, Google Business Profile optimization, keyword targeting, and monthly performance reporting.
  • AI Search / LLM Optimization — Optimization strategies to ensure client businesses are discovered and cited by large language models including ChatGPT, Google Gemini, Claude, and Perplexity AI.
  • Voice Search Optimization — Structured data markup, FAQ schema, and conversational content strategies to improve visibility in voice assistant queries (Google Assistant, Alexa, Siri).

Paid Advertising

  • Google Ads Management — Full-service management of Google Search, Display, Performance Max, and Local Services Ads campaigns, including copywriting, bid strategy, and optimization.
  • Meta Ads Management — Facebook and Instagram paid social advertising including audience building, creative production, A/B testing, and performance reporting.

Social Media & Content

  • Social Media Management — Content creation, scheduling, and posting across client social profiles including Facebook, Instagram, Google Business Profile posts, and other relevant platforms.
  • Video Marketing — Short-form and long-form video production, editing, and distribution including YouTube optimization and social video campaigns.

Reputation & Reviews

  • Review Management — Automated review request campaigns, review monitoring, response management, and reputation reporting across Google, Yelp, Facebook, and other review platforms.

Technology & AI Tools

  • CID Call Tracking — Unique phone number provisioning and call tracking technology to attribute inbound calls to specific marketing campaigns and channels.
  • AI Receptionist — 24/7 AI-powered virtual receptionist for answering inbound calls, capturing leads, booking appointments, and routing inquiries.
  • Talent Management — Coordination and management of local marketing talent resources for specialized campaigns and production needs.

The specific services included in your subscription are determined by your selected plan (Pro, Premier, or Elite) and any applicable order form or statement of work executed between you and AdIQ.

Subscription Plans

AdIQ offers three primary subscription tiers. All plans include access to the AdIQ client dashboard, monthly performance reporting, and a dedicated account manager.

AdIQ reserves the right to modify plan pricing and included services upon 30 days' written notice to existing subscribers. Modified pricing takes effect at the start of your next billing cycle following the notice period. Existing subscribers are not subject to price increases during an active minimum term period.

Custom enterprise plans may be available for businesses requiring services beyond the scope of the Elite plan. Contact your account manager or support@adiq.com for details.

Billing & Payment

Free Trial Period

New subscribers receive a 90-day free trial period commencing on the date of account activation. No credit card charge is processed during the trial period. Your payment method is collected at signup and will be charged automatically on day 91 unless you cancel prior to the end of the trial period (see Section 5: Cancellation Policy).

Payment Processing

All payments are processed securely through Authorize.net, a PCI-compliant payment gateway. AdIQ does not store your full credit card number on our servers. By providing payment information, you authorize AdIQ to charge your payment method for the applicable subscription fee on a monthly recurring basis.

Billing Cycle & Auto-Renewal

Following the trial period, subscriptions are billed monthly on the same calendar date as initial billing commencement. Subscriptions automatically renew on a month-to-month basis after the minimum term is satisfied, unless cancelled pursuant to Section 5. You will receive an email receipt for each successful charge.

Failed Payments

If a payment fails, AdIQ will attempt to reprocess the charge up to three times over a 10-day period. If all retry attempts fail, your account may be suspended. Suspended accounts will have services paused until payment is successfully collected. AdIQ is not liable for any business losses incurred during a suspension period resulting from failed payment.

Taxes

Subscription fees are exclusive of applicable sales, use, value-added, or similar taxes. Where required by law, AdIQ will collect and remit applicable taxes, which will be added to your invoice.

Refund Policy

AdIQ does not issue refunds for subscription fees once the billing period has commenced. All sales are final. If you cancel your subscription, you will retain access to services through the end of your current paid billing period.

Cancellation Policy

Cancellation During Trial Period

If you cancel your subscription at any time before day 90 of your trial period, your account will be deactivated and no charge will be applied to your payment method. To cancel during the trial, log in to your AdIQ client portal and select "Cancel Subscription," or contact your account manager directly.

Cancellation After Billing Commences

Once billing has commenced (on or after day 91), cancellation is subject to your plan's minimum term commitment:

  • Pro Plan (6-month minimum): You may not cancel without financial obligation until you have completed 6 full billing months. If you cancel mid-term, you remain responsible for the remaining monthly fees through the end of the minimum term.
  • Premier and Elite Plans (12-month minimum): You may not cancel without financial obligation until you have completed 12 full billing months. If you cancel mid-term, you remain responsible for the remaining monthly fees through the end of the minimum term.

Post-Minimum Term Cancellation

After your minimum term has been satisfied, you may cancel at any time with 30 days' written notice by emailing support@adiq.com or by logging into the client portal. You will be billed for the 30-day notice period and services will continue through that period. No further charges will be made after the notice period expires.

Effect of Cancellation

Upon cancellation, AdIQ will cease performing services on your behalf. Any websites built by AdIQ on third-party hosting infrastructure provisioned by AdIQ will be transferred to client-controlled hosting, subject to a one-time migration fee, or taken offline at client's discretion. Advertising campaign assets and account access will be returned to the client where technically possible.

Client Obligations

To enable AdIQ to perform services effectively, you agree to the following obligations:

Access & Credentials

  • Provide AdIQ with administrator access to your Google Business Profile, Google Ads account, Meta Business Manager, website hosting, domain registrar, and any other platforms necessary for the delivery of your subscribed services within 10 business days of account activation.
  • Maintain active ownership of all accounts and ensure that AdIQ personnel are granted appropriate permissions. Failure to provide timely access may delay service delivery.

Onboarding Participation

  • Complete the AdIQ onboarding questionnaire and participate in any required kickoff calls within 14 days of account activation.
  • Provide accurate and complete business information including your business name, address, phone number, website URL, service areas, target keywords, and any existing marketing materials or brand assets.
  • Respond to AdIQ communications requiring client approval or input (e.g., website design proofs, ad copy approvals) within 5 business days to avoid service delays.

Accuracy of Information

You represent and warrant that all business information you provide to AdIQ is accurate, current, and not misleading. You agree to promptly notify AdIQ of any changes to your business information that may affect service delivery.

Compliance

You are solely responsible for ensuring that your business, products, and services comply with all applicable federal, state, and local laws and regulations, including advertising standards, consumer protection laws, and industry-specific requirements. AdIQ is not responsible for any legal exposure arising from your business operations or the underlying claims in your marketing content.

Prohibited Uses

You agree not to use AdIQ services in connection with any business or activity that:

  • Violates any applicable law or regulation;
  • Infringes upon the intellectual property rights of any third party;
  • Involves deceptive, misleading, or fraudulent marketing practices;
  • Promotes illegal goods or services, adult content, or content that discriminates on the basis of protected characteristics.

Intellectual Property

Client-Owned Assets

You retain full ownership of your business name, trademarks, logos, and any pre-existing brand assets or content you provide to AdIQ. Any content you supply remains your property at all times.

Work Product & Deliverables

Upon full payment of all fees due, AdIQ assigns to you ownership of the following deliverables created specifically for your account: your website design and code (excluding third-party licensed components), your logo and brand identity materials (if created under a branding service), and your advertising creative assets (ad copy, graphics, videos).

AdIQ Platform & Proprietary Methods

AdIQ retains all right, title, and interest in and to: (a) the AdIQ software platform, dashboards, and reporting tools; (b) AdIQ's proprietary methodologies, frameworks, processes, and technology; (c) any AI models, algorithms, or training data developed or maintained by AdIQ; and (d) all general knowledge, skills, and know-how developed by AdIQ in the course of providing services. These rights are not transferred to you under any circumstances.

License During Subscription

For the duration of your active subscription, AdIQ grants you a limited, non-exclusive, non-transferable license to access and use the AdIQ client portal and reporting dashboard solely for your internal business purposes. This license terminates immediately upon cancellation or termination of your subscription.

Third-Party Tools

AdIQ may use third-party software, stock imagery, plugins, or licensed content in delivering services. AdIQ represents that it has appropriate licenses for such materials, but the underlying license rights remain with the original rights holders.

Disclaimer of Warranties

AdIQ does not guarantee specific search engine rankings, advertising performance results, lead volumes, or revenue outcomes. Digital marketing results depend on numerous factors outside AdIQ's control, including search engine algorithm changes, market competition, client industry, geographic location, and the quality of the client's business offering.

AdIQ's services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, AdIQ expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Warranties that services will be uninterrupted, error-free, or completely secure;
  • Warranties regarding the accuracy or completeness of any reporting data;
  • Warranties that any specific marketing outcomes, rankings, leads, or revenue will be achieved.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AdIQ, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to these Terms or your use of AdIQ's services, even if AdIQ has been advised of the possibility of such damages.

AdIQ's total aggregate liability to you for any claim arising out of or relating to these Terms or AdIQ's services shall not exceed the greater of: (a) the total subscription fees paid by you to AdIQ in the three months immediately preceding the event giving rise to the claim, or (b) $500.

The limitations of liability set forth in this section reflect the allocation of risk between you and AdIQ, form an essential basis of the bargain between the parties, and shall apply to all claims of liability regardless of whether such claims are based in contract, tort (including negligence), strict liability, or any other theory.

Indemnification

You agree to defend, indemnify, and hold harmless AdIQ and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to AdIQ's services;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party;
  • Any content or business information you provide to AdIQ that is inaccurate, misleading, or infringes any third-party right;
  • Any claim by a third party that your underlying business, products, or services are unlawful or infringe their rights.

Termination

Termination by AdIQ

AdIQ may suspend or terminate your account and access to services immediately, without prior notice or liability, if:

  • You materially breach any provision of these Terms and fail to cure such breach within 10 days of written notice;
  • You fail to make any required payment and the account remains delinquent after the retry period;
  • You engage in conduct that AdIQ reasonably believes to be fraudulent, abusive, or harmful to AdIQ or other clients;
  • Continued performance would expose AdIQ to legal liability.

Termination by Client

You may terminate your subscription in accordance with the cancellation provisions in Section 5. Early termination does not relieve you of any outstanding payment obligations for the minimum term period.

Effect of Termination

Upon termination for any reason, all rights and licenses granted to you under these Terms will immediately terminate. Provisions that by their nature should survive termination — including Sections 7, 8, 9, 10, and 12 — shall survive.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or AdIQ's services shall first be subject to good-faith informal resolution. Either party shall provide written notice of the dispute and the parties shall have 30 days to attempt resolution before pursuing formal proceedings.

If informal resolution fails, the parties agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You agree that any claims against AdIQ must be brought in your individual capacity and not as a class action.

Changes to Terms

AdIQ reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address on file for your account and by updating the "Last updated" date at the top of this page. Non-material changes (such as typographic corrections or clarifications that do not affect your rights) may be made without notification.

Your continued use of AdIQ's services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must notify us and cancel your subscription in accordance with Section 5.
